Charter Partner Terms
White Umbrella Technologies Inc. Effective date: October 5, 2026 · Last updated: October 5, 2026
These Charter Partner Terms summarize the terms offered to White Umbrella's first chauffeur and fleet partners ("Charter partners"). Before your first ride, you will sign a Partner Agreement; if it differs from this summary, the signed Partner Agreement controls.
1. Who can apply
- Owner-operators (one vehicle) and fleet owners (two or more vehicles). The partner — the person or company that signs the Partner Agreement — is always the vehicle owner.
- The vehicle must be registered to the partner or the partner's company and commercially insured for livery use in the partner's or the company's name, at the limits required by law and by the Partner Agreement.
- Team chauffeurs. A partner may add chauffeurs who drive the partner's vehicles but do not own them. Each team chauffeur must be listed on the partner's commercial livery insurance and verified by White Umbrella before their first ride. The partner is responsible for its team chauffeurs, receives payment for their rides and handles their pay. A chauffeur who drives for an owner cannot join on their own; the vehicle owner applies as a partner and adds them.
- Chauffeurs who rent or lease a vehicle on their own insurance, and who are not a partner's team chauffeur, are not eligible at this time. A rental or leasing company may join as a fleet partner and add chauffeurs who rent its vehicles as team chauffeurs, if the vehicles are licensed for livery use and those chauffeurs are listed on its commercial livery insurance.
- Each chauffeur, including every team chauffeur, must hold a valid City of Chicago public chauffeur license and any other licenses required for pre-arranged livery service.
- Vehicle classes: Sedan, SUV and VAN in the executive class, meeting White Umbrella's vehicle standards (age, condition and cleanliness) set out in the Partner Agreement.
2. License verification
With your authorization, we check the license number you provide (and the license of each team chauffeur, with their authorization) against the City of Chicago's public records when you apply and periodically while you are a partner. We only look up the number you provide. Any background check through a consumer reporting agency will only be done with your separate written consent.
3. Fees and commission
| | Owner-operator (1 vehicle) | Fleet (2+ vehicles) | |---|---|---| | Monthly fee | $0 | Monthly plan, set out in your Partner Agreement | | Commission — first 12 months as a Charter partner | 15% of the fare | 15% of the fare | | Commission — after 12 months | 20% of the fare (standard) | 20% of the fare (standard) | | Gratuities | 0% — we never take a cut of tips | 0% |
- The 12 months start on the date of your first completed ride through White Umbrella.
- Team chauffeurs: rides by a partner's team chauffeurs follow the partner's commission and plan. Gratuities for those rides are passed in full to the partner for the chauffeur who drove.
- Commission is calculated on the fare for the ride (excluding gratuities, tolls and airport fees passed through at cost).
- You pay nothing until you earn: owner-operators pay no fee of any kind until they complete paid rides; commission is deducted only from completed rides.
- Payouts, payout timing and payment processing are set out in the Partner Agreement.
4. Independence
- You are an independent business, not an employee of White Umbrella. You choose your hours, keep your own calendar, and may accept or decline any ride request.
- You may keep serving your own clients and working with other platforms, subject to the Partner Agreement (for example, you may not solicit White Umbrella guests to book around the platform).
5. Charter partner benefits
- Reduced commission for the first 12 months (section 3).
- Priority placement when White Umbrella launches.
- Owners and fleets: help onboarding your team chauffeurs.
- Early access to the White Umbrella Partner Console.
6. Standards
White Umbrella Certified partners follow our service standards (punctuality, vehicle condition, professional conduct, discretion and privacy of guests). We may pause or end a partnership for safety issues, lapsed licenses or insurance, repeated late arrivals or cancellations, or guest complaints confirmed by review.
The White Umbrella Certified mark. “White Umbrella Certified” is granted only after you complete certification: license and insurance verification, a personal review and acceptance of the Partner Agreement. Where the mark or the words “I’ll be there.” appear next to your name on our website while you apply, they are a preview of how an approved partner is presented. They do not mean you are certified, approved or authorized to accept rides, and you may not describe yourself as White Umbrella Certified until we confirm your certification in writing.
7. Changes
We may update these Charter Partner Terms with at least 30 days' notice by email. Reduced commission already granted for your first 12 months will not be reduced during that period.
